The Corporate & Transactional Paralegal supports the firm’s corporate and business law practice by assisting attorneys with entity formations, mergers and acquisitions, corporate governance, and commercial transactions. This role plays a critical part in servicing clients by managing documentation, filings, contracts, and transactional workflows. The adecuado candidate is detail‑oriented, proactive, and comfortable handling complex matters in a fast‑paced, remote‑friendly legal environment.
Responsibilities:
- Entity Formations & Corporate Maintenance
- Prepare and file formation, qualification, conversion, and dissolution documents for corporations, LLCs, and other entities across multiple jurisdictions.
- Draft organizational documents such as bylaws, operating agreements, consents, and certificates.
- Maintain corporate records, entity databases, and minute books.
- Ensure compliance with ongoing regulatory and Secretary of State requirements.
- Mergers & Acquisitions Support due diligence efforts by organizing, reviewing, and summarizing transactional documents.
- Assist with closing checklists, signature packets, and post‑closing deliverables.
- Coordinate and file transaction‑related documents including Certificates of Merger, UCC filings, and EIN applications.
- Commercial Contracts Draft, review, and revise commercial contracts including NDAs, service agreements, vendor agreements, supply agreements, and related business documents.
- Track contract execution, amendments, renewals, and lifecycle management.
- General Legal Support
- Conduct legal research and summarize findings for attorney review.
- Communicate directly with clients, government agencies, and third parties to gather information, submit filings, and coordinate actions.
- Maintain organized case files, task trackers, and transaction timelines to ensure accuracy and timeliness.
Skills:
- Minimum of 3 years of experience as a corporate or business law paralegal in a law firm or in‑house environment.
- Strong knowledge of corporate formations, governance, entity structuring, and transactional processes.
- Proven experience preparing and filing documents with Secretaries of State and regulatory agencies.
- Experience supporting M&A; transactions, including due diligence and closings.
- Strong contract drafting and review skills with attention to legal and business implications.
- Proficiency in Microsoft Office, Adobe Acrobat, and document management systems (Clio or similar platforms preferred).
- Paralegal certificate or equivalent training/experience preferred.
- Exceptional organizational and attention‑to‑detail skills.
- Strong written and verbal communication abilities.
- Ability to manage multiple priorities and deadlines independently.
- Analytical mindset with strong problem‑solving skills.
- Proactive, self‑motivated, and adaptable in a fast‑paced transactional environment.
- Comfortable collaborating with attorneys while also working autonomously.
