Our client is seeking a skilled Corporate Lawyer with strong experience in Colombian corporate and commercial law to join their growing team. You will play a key role in supporting international clients with entity formation, statutory compliance, legal representation, and ongoing corporate governance requirements in Colombia. Your work will directly impact clients' successful market entry, regulatory compliance, and long-term business operations.

Key Responsibilities
- Support the incorporation of Colombian legal entities (S.A.S.), including preparing and filing incorporation documents with the Cámara de Comercio.
- Coordinate tax registrations, including RUT registration with DIAN, and manage related statutory registrations.
- Act as or coordinate the appointment of the Legal Representative (Representante Legal) for client entities as required under Colombian law.
- Draft,



review, and manage powers of attorney, shareholder resolutions, board resolutions, and other corporate governance documents.
- Oversee annual corporate compliance obligations, including corporate books, annual shareholders' meetings, certificates of good standing, and other statutory filings.
- Coordinate Ultimate Beneficial Owner (RUB/UBO) registrations and updates in accordance with Colombian regulations.
- Serve as a primary legal contact for international clients and referral partners, communicating corporate law requirements, compliance timelines, and documentation in English.
- Provide legal guidance on employment law, commercial contracts, and corporate structuring matters related to foreign-owned entities operating in Colombia.
- Liaise with the Cámara de Comercio, DIAN, and other regulatory authorities to facilitate entity formation and ongoing compliance.
