Focus: U.S. Real Estate, ESAs, Capacity Reservation Agreements & Transaction Management

Position Overview

We are seeking a highly capable, detail-oriented U.S. Real Estate & Infrastructure Paralegal based in Medellín to support a growing portfolio of U.S. real estate, energy and infrastructure development projects.

This is a hands-on transaction-management position. The individual will work under the direction of Juliana and Carlos and coordinate closely with our U.S. attorneys, utilities, title companies, engineers, consultants, property owners and internal development team.

We already have outside legal counsel. This person's responsibility is to manage the process, documentation, deadlines and follow-up , making sure agreements and transactions continue moving forward and that our attorneys receive organized, complete information when legal review is required.

Excellent written and spoken English is required.

Primary ResponsibilitiesEnergy & Capacity Agreements

- Manage the documentation process for Electric Service Agreements (ESAs) and capacity/power reservation agreements with U.S. electric utilities and cooperatives.
- Maintain current versions of agreements, exhibits, amendments and supporting documentation.
- Coordinate drafts and comments between management, utilities and outside counsel.
- Maintain redline and version control for agreements.
- Track outstanding business and legal issues requiring decisions.
- Prepare issue lists and summaries for management and attorneys.
- Track execution requirements, deposits, milestones, expiration dates and other contractual deadlines.
- Maintain a master agreement and capacity tracking system across multiple project sites.

Real Estate Transactions
- Support land acquisitions, options, leases, easements and property closings.
- Coordinate with U.S. title companies, attorneys, brokers, surveyors and property owners.




- Maintain closing and due-diligence checklists.
- Organize title commitments, surveys, deeds, easements, purchase agreements, option agreements and closing documents.
- Track inspection periods, option periods, closing dates and other critical deadlines.
- Assist with electronic signatures and document circulation.
- Prepare complete electronic closing files for each property.

Site & Due-Diligence Documentation
- Organize property and site documentation for multiple U.S. development locations.
- Coordinate environmental documentation, including Phase I Environmental Site Assessments (ESAs) and related environmental reports.
- Track surveys, title work, zoning information, utility documentation, engineering reports and other diligence materials.
- Identify missing documents or information and follow up with the responsible party.
- Maintain standardized electronic files for every development site.

Legal & Document Management
- Serve as the primary administrative connection between the development team and outside U.S. attorneys.
- Assemble information and documents requested by counsel.
- Maintain document version control and organized legal files.
- Prepare routine forms, schedules, exhibits and transaction documents under attorney or management direction.
- Maintain corporate documentation for project entities and SPVs.
- Track signatures, approvals, notices and contractual obligations.
- Prepare concise weekly reports showing the status of every active transaction and agreement.

Qualifications
- Fluent or near-fluent English — written and spoken — is mandatory.
- Paralegal,



legal assistant, transactional, contract-management or real estate closing experience.
- Strong ability to read and understand English-language contracts.
- Exceptional attention to detail.
- Advanced computer and document-management skills.
- Strong Microsoft Word, Excel, Outlook and PDF editing skills.
- Comfortable working with electronic signatures and cloud-based document systems.
- Ability to manage numerous transactions and deadlines simultaneously.
- Strong written communication and professional follow-up skills.
- Comfortable communicating directly with U.S. attorneys, utilities, title companies and other professionals.

Preferred Experience Experience involving any of the following is particularly valuable:
- Commercial real estate
- Real estate closings
- Energy or utility agreements
- Electric service agreements
- Capacity or reservation agreements
- Infrastructure development
- Title and survey documentation
- Environmental due diligence / Phase I ESAs
- Easements and rights-of-way
- Corporate entities and SPVs
- Contract administration

What Success Looks Like This person should become the organizational center of the transaction and agreement process .

At any time, management should be able to ask:

Where is the ESA? What is holding up the reservation agreement? Has the title commitment been received? When does the option expire? Has the Phase I been ordered? What does the utility still need? Has our attorney reviewed the latest draft?

This individual should be able to provide the answer quickly and identify exactly what needs to happen next.

The position does not replace our U.S. attorneys or provide independent U.S. legal advice. Outside counsel will continue to handle legal analysis and legal decisions. The paralegal's role is to keep the process organized, documented and moving forward under the direction of Juliana, Carlos and management.
